Distance Sales Agreement

1. Parties

This Distance Sales Agreement (the "Agreement") is entered into between the Seller identified below and the Buyer who places an order through the Platform, under the terms set out below.

Note: All paid transactions are processed by [Payment Service Provider] as Merchant of Record. [Payment Service Provider] handles payment collection, invoicing, tax (VAT/GST), refunds, chargebacks, and first-line buyer support. Morpheo Akademi acts as [Payment Service Provider]'s subcontractor, responsible for producing and delivering the educational content.

2. Subject and Scope

This Agreement sets out the rights and obligations of the Parties with respect to the online sale and delivery of the digital educational service ordered by the Buyer through the Platform, in accordance with Türkiye's Law No. 6502 on Consumer Protection, the Distance Contracts Regulation, the Turkish Code of Obligations, and applicable international consumer protection rules.

Before placing the order, the Buyer is provided with Pre-Sale Information and must confirm it electronically in accordance with Article 5 of the Distance Contracts Regulation.

3. Essential Characteristics of the Service

• The description, duration, number of lessons, access conditions, and price of the service are displayed on the product page and in the order summary.
• The service consists of videos, audio, text, presentations, quizzes, exams, assignments and code samples prepared by the instructor.
• Access requires a modern browser, sufficient bandwidth, and an active Platform account.

4. Price, Tax, and Payment

• The total price including all applicable taxes (VAT/GST) is shown in the order summary.
• Payment is processed through [Payment Service Provider]'s secure checkout using credit/debit cards, PayPal, Apple Pay, Google Pay, or other supported methods.
• Prices may be displayed in multiple currencies; conversion is performed by [Payment Service Provider] and may be subject to additional fees imposed by your bank.
• An electronic invoice is issued by [Payment Service Provider] and sent to the Buyer's email upon successful payment.
• The Buyer confirms that the payment instrument used belongs to the Buyer or that the Buyer is authorized to use it.

5. Delivery and Performance

Upon successful payment confirmation by [Payment Service Provider], the purchased digital content is made available instantly to the Buyer's Platform account and performed online. No physical delivery takes place.

6. Right of Withdrawal and Exceptions

Pursuant to Article 15(1)(ğ) of the Distance Contracts Regulation, the right of withdrawal does not apply to "contracts relating to services that are performed instantly in electronic form and to intangible goods delivered instantly to the consumer." Accordingly, the Buyer acknowledges that, once access to the digital content has been granted, the statutory 14-day withdrawal right is no longer available.

Before completing the checkout, the Buyer must actively confirm through an explicit opt-in checkbox that the right of withdrawal is waived upon instant access.

Notwithstanding the foregoing, Morpheo Akademi applies a voluntary 14-day refund policy aligned with [Payment Service Provider]'s standard refund terms, subject to the conditions set out in that policy.

7. Refunds and Cancellations

Refund and cancellation procedures are described in detail in the Refund Policy. Approved refunds are processed by [Payment Service Provider] through the original payment method. Reflection of the refund on the Buyer's account may take 2–10 business days depending on the bank.

8. General Provisions

• The Buyer confirms that they are at least 18 years old and legally capable.
• The Buyer agrees to the Terms of Service and Privacy Policy.
• The Buyer may use the purchased content for personal and educational purposes only.

9. Complaints and Dispute Resolution

Complaints may be addressed first to [Payment Service Provider] Buyer Support ([PSP SUPPORT SITE]) and to Morpheo Akademi support channels. If unresolved, Buyers qualifying as consumers under Turkish Law No. 6502 may refer disputes to the Consumer Arbitration Committees or Consumer Courts in accordance with annual monetary thresholds published by the Turkish Ministry of Trade.

10. Evidential Agreement

The Parties agree that all records, logs, emails, order and payment data kept by Morpheo Akademi and [Payment Service Provider] shall constitute conclusive and exclusive evidence in any dispute, pursuant to Article 193 of the Turkish Code of Civil Procedure.

11. Entry into Force

This Agreement consists of 11 articles and becomes effective at the moment the Buyer approves it electronically and the payment is successfully processed. A copy is sent to the Buyer's email.
