These Terms of Service (the "Terms") constitute a binding agreement between [COMPANY LEGAL NAME] ("Morpheo Akademi", "we", "us" or the "Platform") and any natural or legal person (the "User") who registers on, accesses, or otherwise uses the Platform.

These Terms govern the conditions under which Users may access and use the Platform and the Content, the rights and obligations of the parties, payment and refund terms, intellectual property rights, liability allocation, privacy, and dispute resolution.
By registering on, purchasing from, or otherwise using the Platform, the User acknowledges having read, understood, and accepted these Terms, Privacy Policy, Cookie Policy, Distance Sales Agreement, Refund Policy, Intellectual Property Policy, and Acceptable Use Policy.
The User represents that they are at least 18 years old and have full legal capacity to enter into these Terms. Users under 18 may use the Platform only with express written consent of a parent or legal guardian, who shall be fully liable for the User's actions.
Merchant of Record Notice: All paid transactions on the Platform are processed by [PAYMENT SERVICE PROVIDER] (United Kingdom) as the Merchant of Record. [Payment Service Provider] is the seller of record for your purchase and is responsible for payment processing, invoicing, tax (VAT/GST) collection and remittance, refunds, chargebacks, and first-level buyer support. Morpheo Akademi acts as [Payment Service Provider]'s subcontractor for the production and delivery of the educational content.
Subject to these Terms, Morpheo Akademi grants the User a limited, personal, non-exclusive, non-transferable, non-sublicensable license to access and view purchased or freely available Content solely for personal, educational, non-commercial purposes.
No ownership of any Content is transferred to the User. In particular, the User shall not:
All Content, trademarks, logos, software, source code, database structures, design elements, and interface components on the Platform are owned by Morpheo Akademi and/or its Instructors and are protected by Türkiye's Law No. 5846 on Intellectual and Artistic Works, Law No. 6769 on Industrial Property, and applicable international treaties. All rights not expressly granted herein are reserved.
Scraping, crawling, data extraction, reverse engineering, or any automated collection of Platform Content is strictly prohibited. See the Intellectual Property Policy for details.
Users may submit reviews, comments, questions, answers, assignments, forum posts, and other content ("User Content"). The User retains ownership of User Content but grants Morpheo Akademi a worldwide, perpetual, irrevocable, royalty-free, sublicensable, non-exclusive license to host, reproduce, modify, distribute, publicly display, and otherwise use User Content in connection with the Platform.
Morpheo Akademi may remove any User Content that violates these Terms or applicable law at any time without notice.
Users must not engage in any of the following behaviors, which may result in immediate account termination and legal action:
The Platform integrates with third-party services including but not limited to [Payment Service Provider] (payments/MoR), Bunny CDN (video delivery), Supabase (authentication and data), PostHog (analytics), and OAuth providers. Use of these services is subject to their own terms and privacy policies. Morpheo Akademi is not liable for third-party outages or incidents.
Morpheo Akademi may modify, suspend, or discontinue any part of the Platform at any time. We may suspend or terminate any account in case of breach, fraud, chargeback, unlawful content, security incidents, or legal order, without refund and without prejudice to any other rights.
Users may terminate their account at any time through the account settings. Account termination does not entitle the User to refunds of past purchases.
THE PLATFORM AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
The educational Content is for informational and educational purposes only and does not constitute professional advice. The User is solely responsible for decisions made based on the Content.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MORPHEO AKADEMI, ITS OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, BUSINESS, GOODWILL, OR DATA). IN ANY EVENT, MORPHEO AKADEMI'S AGGREGATE LIABILITY TOWARD A USER SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY THAT USER TO MORPHEO AKADEMI FOR THE RELEVANT SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Nothing in this section limits rights that cannot be excluded under Türkiye's Law No. 6502 on Consumer Protection or other mandatory consumer protection laws.
The User agrees to defend, indemnify and hold harmless Morpheo Akademi, its affiliates, officers, employees, licensors and suppliers from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees) arising out of or relating to the User's breach of these Terms, User Content, or use of the Platform.
Morpheo Akademi may update these Terms at any time. Updates will be posted on the Platform and, where material, communicated by email. Continued use of the Platform after the effective date constitutes acceptance.
Morpheo Akademi shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, wars, pandemics, government actions, internet outages, cyber attacks, or failures of third-party service providers such as [Payment Service Provider], Bunny CDN, or Supabase.
These Terms are governed by and construed in accordance with the laws of the Republic of Türkiye, without regard to its conflict-of-laws principles.
For Users qualifying as consumers under Law No. 6502 on Consumer Protection, Consumer Arbitration Committees and Consumer Courts located at the User's or seller's place of residence shall have jurisdiction in accordance with the monetary thresholds published annually by the Ministry of Trade.
Exclusive Jurisdiction: For all other disputes arising out of or relating to these Terms, the Parties irrevocably submit to the exclusive jurisdiction of the Courts and Execution Offices of BURSA, TÜRKİYE.
The Parties agree that the records, logs, emails, and electronic data maintained by Morpheo Akademi and [Payment Service Provider] shall constitute conclusive and exclusive evidence in any dispute arising out of or relating to these Terms, pursuant to Article 193 of the Turkish Code of Civil Procedure. This clause constitutes an evidential agreement within the meaning of that article.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Failure to enforce any right is not a waiver. These Terms constitute the entire agreement between the parties.
